Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Greatminds Retail Private Limited, a company incorporated under the Companies Act, 2013, having its registered office in Mumbai, Maharashtra, India (“GoWith”, “we”, “us”, or “our”) governing your access to and use of the GoWith platform, including the mobile application, website at gowith.now, and any related services (collectively, the “Platform”).

By creating an account, browsing companions, or making any booking through the Platform, you confirm you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Definitions

  • Booker means a User who books the time and presence of a Companion through the Platform.
  • Companion means a KYC-verified User who offers their time and presence for social, lifestyle, or professional Services in exchange for a fee, as listed on the Platform.
  • Booking means a confirmed request by a Booker for a Companion’s time, made through the Platform.
  • Meet means the in-person meeting between a Booker and a Companion arising from a Booking.
  • Services means the categories of activities Companions offer (including coffee chats, city walks, wedding plus-ones, dinner companions, gallery visits, networking events, and other social or lifestyle activities).
  • Escrow means the segregated payment account operated by our payment provider that holds Booker payments until Fund Release conditions are met.
  • KYC means the identity verification process every Companion completes before accepting Bookings, including government photo ID verification, live selfie liveness matching, and bank account or UPI verification.
  • Fund Release means the transfer of Escrow funds to a Companion, which occurs two (2) hours after the Meet ends, provided no Dispute has been raised.
  • Dispute means a claim by either party made through the Platform within the two-hour dispute window that pauses Fund Release pending review.

2. Eligibility

You must be at least eighteen (18) years of age to create an account or use the Platform. By registering, you represent and warrant that you are 18+, have full legal capacity to enter into these Terms, and are not prohibited under any applicable law from doing so.

The Platform is intended for use by residents of India and is not directed at minors. If we become aware that a User is under 18, we will immediately terminate the account and delete all associated data.

3. Account Registration and Security

Registration requires a valid Indian mobile number and completion of a one-time password (OTP) verification. First-time Users must complete a short onboarding form (name, display name, date of birth, city, gender).

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@gowith.now if you suspect any unauthorised use.

You may hold only one active account. Creating multiple accounts, using another person’s identity, or bypassing KYC in any manner will result in immediate termination and, where appropriate, referral to law enforcement.

4. Companion KYC and Verification

To offer Services as a Companion, you must complete our KYC verification process, which includes:

  • Upload of a valid government photo identification (Aadhaar, PAN, driving licence, or passport);
  • A live selfie captured through the Platform, subject to liveness detection and matched against your ID photo;
  • Bank account or UPI verification via a one-rupee name-match transaction.

By submitting these documents, you consent to our use of third-party KYC providers to verify your identity, and to periodic re-verification. You represent that all information submitted is accurate, current, and belongs to you personally. Any misrepresentation is grounds for immediate termination and may constitute an offence under applicable law.

5. Bookings and Meets

5.1 Booking Modes

The Platform offers two Booking modes: Instant (Meets within thirty (30) minutes, subject to a five (5) minute Companion acceptance window) and Scheduled (Meets at a specified future time, subject to a twelve (12) hour Companion acceptance window).

5.2 Booking Confirmation

A Booking is confirmed only upon Companion acceptance. If a Companion does not accept within the applicable window, the Booking auto-cancels and no charge is applied.

5.3 GPS Check-in

The Meet timer begins only when both the Booker and Companion have GPS-checked in within one hundred (100) metres of the agreed venue. Failure by either party to check in within thirty (30) minutes of the Booking start time constitutes a no-show.

5.4 Conduct During Meets

Both Bookers and Companions agree to treat each other with respect and professionalism. Meets are strictly non-romantic and non-intimate. Any request, offer, or facilitation of sexual services is a material breach of these Terms and is strictly prohibited.

5.5 Location and Duration

Meets should take place at public venues. Meets may not be extended informally; any extension must be booked and paid for through the Platform.

6. Payments, Escrow, and Fund Release

All payments are processed through our payment provider and held in Escrow from Booking confirmation until Fund Release. No cash is exchanged directly between Bookers and Companions.

Fund Release occurs two (2) hours after the Meet ends, provided no Dispute has been raised during that window. Companions receive weekly consolidated payouts every Monday to their verified bank account or UPI.

Applicable tax deducted at source (TDS) under Section 194O of the Income Tax Act, 1961 shall be deducted from Companion payouts and credited to the Companion’s PAN. Companions are responsible for their own income tax obligations, including GST registration where their annual turnover exceeds statutory thresholds.

7. Cancellations, Refunds, and Disputes

Detailed cancellation, refund, and dispute rules are set out in our Refund Policy, which forms an integral part of these Terms.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful, fraudulent, or harmful purpose;
  • Solicit, offer, or facilitate sexual services, escort services, or any form of paid intimacy;
  • Misrepresent your identity, age, KYC documents, or any information provided during registration;
  • Attempt to circumvent Platform fees, GPS check-in requirements, or Escrow;
  • Harass, threaten, defame, or discriminate against any other User;
  • Extract personal contact information of any Companion or Booker for use outside the Platform;
  • Reverse engineer, scrape, or otherwise access the Platform other than as intended;
  • Post false ratings, reviews, or profile information.

Violation may result in warning, suspension, permanent account termination, forfeiture of funds due, and referral to law enforcement.

9. Intellectual Property

All content, trademarks, logos, and software on the Platform are the property of GoWith or its licensors. You are granted a limited, non-exclusive, revocable licence to access and use the Platform for personal purposes. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Any content you submit (profile bio, ratings, reviews) grants GoWith a worldwide, royalty-free, non-exclusive licence to use, display, and reproduce such content in connection with operating the Platform.

10. Limitation of Liability

GoWith is a technology platform facilitating introductions between Bookers and Companions. We do not employ Companions. We are not a party to any Meet. Subject to applicable law, our aggregate liability arising out of or in connection with the Platform shall not exceed the total amount of platform fees paid or payable by you to GoWith in the twelve (12) months preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless GoWith, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your conduct during any Meet, or your violation of any applicable law.

12. Termination

You may terminate your account at any time from the Platform. We may suspend or terminate your account, with or without notice, for any breach of these Terms, applicable law, or if we reasonably believe your continued use of the Platform poses a risk to other Users or to the Platform.

Termination does not extinguish any obligations that arose prior to termination, including payment obligations, indemnification, or any released claims.

13. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy and our DPDP Act Declaration, which explain how we collect, use, store, and protect your personal data.

14. Modifications to Terms

We may amend these Terms at any time. Material changes will be communicated via email or in-app notice at least fourteen (14) days before taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the amended Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. Failing resolution within thirty (30) days, disputes shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by GoWith. The seat and venue of arbitration shall be Mumbai, Maharashtra. The language of arbitration shall be English.

Subject to arbitration, the courts of Mumbai, Maharashtra shall have exclusive jurisdiction.
